Terms & Conditions

These Terms and Conditions ("Terms") govern the sale of aluminum extrusion products by Rucha Engineering ("Seller", "we", "us") to buyers ("Buyer", "you"). By placing an order, the Buyer agrees to these Terms.

1. Quotations and Ordering

All quotations are valid for 30 days from issue unless otherwise stated. Prices are subject to change due to raw material fluctuations or exchange rate movements. An order is confirmed only upon written acceptance by Rucha Engineering and receipt of the agreed deposit or payment. We reserve the right to decline orders at our discretion.

2. Pricing and Payment

All prices are quoted EXW (Ex-Works Ahmedabad) unless otherwise agreed. FOB, CIF, or DAP pricing is available on request. Payment terms are specified in the proforma invoice and may include:

• 100% advance for new buyers
• 30–50% advance with balance against Bill of Lading for established buyers
• Letter of Credit (LC) accepted for orders above USD 10,000

Invoices are denominated in USD or INR as agreed. Late payments are subject to interest at 2% per month.

3. Product Specifications

Products conform to the alloy grade, temper, dimension, and tolerance standard stated in the confirmed order. Minor dimensional variation within the tolerance range of the applicable standard (IS, ASTM B221, or EN 755) does not constitute a defect. Custom specifications must be agreed in writing before order confirmation.

4. Minimum Order Quantities

Minimum order quantities (MOQ) are listed on each product page. Orders below MOQ may be accepted at a premium or combined with other orders at the Seller's discretion. MOQs are subject to change without notice.

5. Lead Times and Delivery

Standard lead times are 7–21 business days from order confirmation and payment, depending on product type and quantity. Lead times are estimates only and not guaranteed. We are not liable for delays caused by force majeure, port congestion, freight carrier delays, or circumstances beyond our control. Risk passes to the Buyer at the agreed Incoterm point.

6. Inspection and Claims

The Buyer must inspect goods within 7 days of receipt. Claims for shortage, damage, or non-conformance must be submitted in writing with photographic evidence within 14 days of delivery. Claims will not be accepted after this period. Material Test Reports are issued with each shipment and serve as prima facie evidence of chemical and mechanical properties.

7. Returns and Cancellations

Custom-extruded or cut-to-length products cannot be returned or cancelled once production has commenced. Standard stock items may be returned within 30 days in original condition, subject to a 15% restocking fee. Return freight is at the Buyer's expense. Refunds are processed within 14 business days of receipt and inspection.

8. Warranties

We warrant that products conform to the agreed specification at the time of dispatch. This warranty does not cover defects arising from improper handling, storage, fabrication, or use by the Buyer. Our liability under any warranty is limited to replacement of non-conforming material or a credit equal to the invoice value of the affected goods.

9. Limitation of Liability

In no event shall Rucha Engineering be liable for any indirect, incidental, consequential, or special damages, including but not limited to lost profits, production downtime, or business interruption, even if advised of the possibility of such damages. Our total aggregate liability for any claim shall not exceed the invoice value of the goods to which the claim relates.

10. Intellectual Property

All technical drawings, designs, and product data submitted to us remain the property of the Buyer. We retain the right to source and supply similar products for other customers unless a separate non-disclosure agreement is in place. Our brand name, logo, and website content are our intellectual property and may not be used without written permission.

11. Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, government actions, strikes, power outages, or supply chain disruptions. The affected party must notify the other within 5 business days of the force majeure event.

12. Governing Law and Disputes

These Terms are governed by the laws of India. Any disputes arising from or relating to these Terms or any order shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be referred to binding arbitration in Ahmedabad, Gujarat under the Arbitration and Conciliation Act, 1996 (India). The language of arbitration shall be English.

13. Privacy

We handle Buyer data in accordance with our Privacy Policy.

14. Amendments

These Terms may be updated at any time. The current version published on this page governs all orders placed after the update date. Continued ordering constitutes acceptance of the revised Terms.
